Scope and Acceptance of Terms

These Terms and Conditions apply to all materials, components, consumables, accessories, and other products (“Products”) sold through the Resonetics online store. By placing an order through the online store, Buyer agrees to be bound exclusively by these Terms and Conditions. Any additional or different terms proposed by Buyer are expressly rejected unless agreed to in writing by Resonetics.


Online Orders and Account Responsibility

Orders are placed through the Resonetics online store using Buyer’s authorized account credentials. Buyer is responsible for maintaining the confidentiality of login information and for all activities conducted under its account. Orders are binding once submitted through the online store and accepted by Resonetics.


Product Information and Availability

Product descriptions, specifications, pricing, and availability displayed in the online store are subject to change without notice. Resonetics does not guarantee that all Products will be available at all times. Images and descriptions are for identification purposes only and may not represent exact specifications.


Pricing and Taxes

All prices are listed in U.S. dollars and are F.O.B. Resonetics facility unless otherwise stated. Buyer is responsible for all applicable sales, use, value-added, excise, customs, or other taxes, as well as shipping and handling charges. Tax exemption documentation must be provided at the time of purchase.


Payment Terms

Payment is due at the time of order unless Buyer has been expressly approved for alternate payment terms by Resonetics. Resonetics reserves the right to suspend or cancel orders if payment authorization is declined or delayed.


Shipment, Title, and Risk of Loss

Shipping dates provided through the online store are estimates only. Title to and risk of loss for Products pass to Buyer upon delivery to the carrier. Resonetics is not responsible for delays caused by carriers or customs authorities.


Inspection and Returns

Buyer must inspect Products within 30 days of receipt. Returns require prior written approval and issuance of a Return Material Authorization (RMA) by Resonetics. Certain Products, including custom, configured, or consumable items, may be non-returnable. Returned Products must be in original condition and packaging.


Limited Warranty

Resonetics warrants that Products will materially conform to published specifications at the time of shipment. Buyer’s exclusive remedy for breach of this warranty is, at Resonetics’ option, repair, replacement, or refund of the purchase price.


Warranty Disclaimers

Except for the limited warranty stated herein, Products are provided “AS IS.” Resonetics disclaims all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.


Limitation of Liability

In no event shall Resonetics be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, loss of data, or business interruption, arising from or related to the sale or use of Products purchased through the online store.


Intellectual Property

All content on the Resonetics online store, including text, graphics, trademarks, and product designs, is the exclusive property of Resonetics or its licensors and may not be used, copied, or distributed without prior written consent.


Force Majeure

Resonetics shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, labor disputes, supply chain disruptions, government actions, or transportation delays.


Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Manchester, New Hampshire.


Severability

If any provision of these Terms and Conditions is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
